The Board of Directors of .au Domain Administration Limited (auDA) is pleased to invite you to attend its 2017 Annual General Meeting.

                        1–5 Spencer Street, Melbourne, Victoria

Purpose

The purpose of this meeting is to: 

  • Report the activities of auDA
  • Elect Directors to the Board of auDA to replace those retiring by rotation.

Agenda for the AGM

  1. Motion to approve the 2016 AGM Minutes
  2. Report from the CEO on activities and progress 
  3. Acceptance of the 2016–2017 audited accounts
  4. Appointment of Auditor
  5. Fixing of Auditor's Remuneration
  6. Resignation from the Board of those Directors retiring by rotation
  7. Elections for new Directors to the Board: 
    a. Supply Class (two Directors) – three nominations received
    b. Demand Class (two Directors) – five nominations received
    Independent returning officer Mr Ron Ritchie will be present at the AGM to conduct the elections. See below for information about Mr Ritchie
  8. Special Resolution — Amendment of Constitution:
    Fit and Proper Persons Test, proposed by demand class member Simon Johnson

Voting

You cannot vote at the AGM unless you qualify to vote under clause 16.1 of auDA’s Constitution and your membership fee has been paid. 

Proxy

For members who cannot attend the meeting but still wish to vote, a Proxy Form (PDF) with instructions is available. If you have any trouble accessing the proxy form, please email ronritchie@optusnet.com.au

All qualifying members have the right to appoint a proxy and the proxy does not need to be a member of auDA. 

Proxy forms must be received by 5pm AEDT on Thursday 23 November 2017. Late proxy forms will not be accepted. Forms must be emailed to independent returning officer Ron Ritchie, ronritchie@optusnet.com.au

About the Returning Officer

Mr Ron Ritchie has been appointed Returning Officer for the 2017 auDA AGM. He is Principal Returning Officer at RGR Election Services and has had significant experience with the Victorian Electoral Commission during state and local government elections. 

Ron has been responsible for conducting many polls for enterprise agreements in government and business organisations. 

He is currently Returning Officer for several community health organisations, Cycling Victoria, the Football Federation of Victoria, the Centre for Excellence in Child and Family Welfare, the Melbourne University Graduate Union along with other community and business associations. Ron has also been engaged by the Australian Electoral Commission for several federal elections.
