auDA Nomination Committee appointed

auDA is pleased to announce the establishment of the Nomination Committee, as required by auDA’s new constitution which was adopted on 27 September 2018.

The Nomination Committee consists of highly qualified and experienced members representing different sectors of Australia’s internet community:

  • Suzanne Ewart
  • Richard Bean
  • Keith Besgrove
  • David Epstein
  • Karen Hayes AM
  • Jacqui Lefevre
  • Nikki Scholes
  • Neville Stevens AO

Appointment of additional members may be announced in the future.

Expressions of Interest were sought in October 2018 in national print media and online via organisations such as the Australian Institute of Company Directors and the Governance Institute of Australia.

All Nomination Committee members have been subject to rigorous probity checks.

The auDA Board has appointed the members of the committee with the approval of the Australian Government Department of Communications and the Arts, in accordance with auDA’s constitution.

The Nominations Committee will be chaired by the auDA Independent Chair, Suzanne Ewart.

As per paragraph 5.3 of the auDA constitution, the Nomination Committee’s role is to:

(i) identify, scrutinise and approve candidates for appointment or election as a Director pursuant to this rule 5; and
(ii) receive and consider notices of concern from Associate Members or Governing Members regarding the performance or conduct of Directors.

The members of the Nomination Committee are also now the Governing Members of auDA as per clause 2.2 of the auDA Constitution.

The Government will be represented on the Nomination Committee by Richard Bullock, Assistant Secretary, Department of Communications and the Arts. The Government representative is not a Governing Member.

The Nomination Committee Charter was approved by the auDA Board in September 2018.

The Nomination Committee will soon begin the process of selecting candidates for the 10 auDA Board positions.

As per paragraph 5.1 of the auDA constitution the auDA Board consists of:

  • one independent chairperson
  • five independent Directors
  • four elected Directors.

In addition to providing information about the operation and effectiveness of the Nomination Committee in the auDA Annual Report, updates on the work of the committee will be provided as part of auDA’s Quarterly Stakeholder Reports.
