Call for Expressions of Interest: Elected Non-Executive Board Director

.au Domain Administration Ltd (auDA) is Australia’s Country Code Top Level Domain (ccTLD) administrator which oversees the operation and management framework of the .au domain of the Internet. auDA’s role is to provide a safe, secure and operational namespace for more than 20 million Australian Internet users. auDA is a not for profit public company limited by guarantee and operates under Terms of Endorsement from the Australian Government and a sponsorship agreement with the Internet Corporation for Assigned Names and Numbers (ICANN).

Following a Federal Government review in 2018, auDA adopted a new Constitution and reconstituted its Board in late 2019, with one Elected Director position remaining unfilled.

The auDA Board is now seeking expressions of interest to fill this vacancy. This presents an important leadership opportunity for a new Board member to join the recently established Board in shaping the strategic direction of the organisation and the policy agenda for the .au domain.

The Board is seeking expressions of interest from candidates to recommend to auDA’s Nomination Committee to fill this Elected Director vacancy. The Nomination Committee will assess these applications and recommend candidate(s) to be put to a ballot by the Associate Members of auDA. The ballot will be held in October, with the new Director to take office after the 10 November 2020 AGM for an initial three-year term.

Candidates wishing to be considered for election will need sound analytical and communication skills, a deep understanding of good governance and commitment to ethics and integrity, and the willingness and time to contribute constructively to the Board and its Committees. Collectively, Board Directors need to cover a broad mix of skills including:

  • Strategy, planning and policy development
  • Governance
  • Relevant technical and industry knowledge
  • Stakeholder relations
  • Finance and audit
  • Leadership

The auDA Board generally meets for up to one day every 4-6 weeks. While held virtually at present, Board meetings are generally held in Melbourne, with 2-3 scheduled interstate each year to combine with member and stakeholder events. Directors are remunerated and reasonable travel expenses to attend meetings are reimbursed. Candidates for this vacancy must be prepared to undergo probity checks as part of the process, and willing to be put forward to a ballot of auDA Associate Members.
