Call for nominations for election to the auDA Board 2017

auDA is pleased to open the call for nominations for election to the auDA Board.

The election will take place at auDA's Annual General Meeting, to be held on Monday 27 November 2017 in Melbourne.

The AGM will elect four Directors to the Board to replace the Directors who must retire from the Board in accordance with auDA's Constitution (see below). The Directors elected will serve for a term of two years.

The vacancies that will become available are: 

• two (2) Directors elected only by the Supply Class Members
• two (2) Directors elected only by the Demand Class Members

Retiring Directors may re-contest these vacancies.

People intending to stand for election to the Board should note that their signed nominations must be received by 5pm AEDT, Sunday 29 October 2017. Late nominations will not be accepted.

Membership of auDA is not necessary for nominees seeking to become Directors, but candidates must be nominated and seconded by auDA Members in accordance with clause 19.4 of auDA’s Constitution. Candidates who themselves comply with clause 19.4 may nominate or second themselves.

In accordance with clause 18.3 of auDA’s Constitution, a Director who is elected by Demand Class Members must not be a Supply Related Person. See definition of "Supply Related Person" in clause 1.2 of auDA's Constitution for more information. 

Mr Ron Ritchie has been appointed independent returning officer for the 2017 auDA AGM. See below for information on Mr Ritchie.

Instructions for standing for election to the auDA Board

1. Complete the nomination form. Make sure you sign it and get signatures from your proposer and seconder, both of whom must be current financial auDA members.
2. Scan and email the form to Ron Ritchie, independent returning officer at ronritchie@optusnet.com.au by 5pm AEDT, Sunday 29 October 2017. Late nominations will not be accepted.

Fees and expenses

The auDA Board meets a minimum of six times a year, usually in Melbourne. Elected Directors receive a sitting fee per meeting attended (in person or by teleconference), in addition to reimbursement of travel expenses.

Board committees

Directors generally serve on at least one Board committee:
1. Governance
2. Security and Risk

Legal obligations

On election, Directors are required to sign the following documents:

1. Consent to Act
2. Directors' Deed of Confidentiality (currently being reviewed)
3. Summary of Directors' Duties 

About the Returning Officer

Mr Ron Ritchie has been appointed Returning Officer for the 2017 auDA AGM. He is Principal Returning Officer at RGR Election Services and has had significant experience with the Victorian Electoral Commission during state and local government elections.

Ron has been responsible for conducting many polls for enterprise agreements in government and business organisations.

He is currently Returning Officer for several community health organisations, Cycling Victoria, the Football Federation of Victoria, the Centre for Excellence in Child and Family Welfare, the Melbourne University Graduate Union along with other community and business associations. Ron has also been engaged by the Australian Electoral Commission for several federal elections.
